Brideway

Brideway Terms of Service

Effective Date: June 1, 2026

These Terms of Service ("Terms") are an agreement between ABR Digital Brands Solutions LLC, a Wyoming limited liability company ("Brideway", "we", "us"), and the business or person that creates a planner account ("Customer", "you"). They govern your use of the Brideway platform at getbrideway.com (the "Service"). By creating an account, clicking to accept these Terms, or using the Service after being given access, you agree to these Terms and the Privacy Policy. If you accept on behalf of a business or other organization, you represent that you have authority to bind it.

1. The Service

Brideway is a software platform for wedding planners to manage couples, vendors, budgets and payment records, guests, seating, rooming, rundowns, tasks, documents, reminders, and related wedding-planning information, with an optional read-only portal for each couple.

The Service is a software tool only. Brideway is not a wedding planner, event manager, payment intermediary, bank, money transmitter, vendor, venue, insurer, fiduciary, accountant, lawyer, or other professional adviser to you, your clients, or your vendors. Brideway does not receive, hold, transmit, settle, reconcile, or verify payments between couples and vendors. Payment amounts, due dates, methods, and paid status recorded in the Service are information entered or updated by you or your users and are not independently verified by Brideway.

Features, integrations, limits, pricing, and availability may change over time. We do not promise that the Service will be suitable for a particular event, jurisdiction, business process, or legal requirement. You are responsible for determining whether your use of the Service is lawful in the places where you operate and for complying with applicable local requirements.

2. Accounts and Authorized Users

You must provide accurate and current account information and keep authentication credentials secure. You are responsible for activity under your account and for the acts and omissions of your team members and other persons you authorize to access the Service (collectively, "Authorized Users").

You may add Authorized Users up to the limits of your plan. You are responsible for determining each Authorized User’s access, using reasonable least-privilege practices, and promptly removing access that is no longer needed. Individual login credentials may not be shared between people.

You must notify Brideway promptly if you suspect unauthorized access, credential compromise, or another security incident involving your account. Brideway may refuse, suspend, limit, or close an account when reasonably necessary to prevent fraud, address a security risk, comply with law, enforce these Terms, or protect the Service or other users.

3. Closed Beta

Brideway may designate selected planners as closed-beta customers by invitation (each, a "Beta Customer"). A Beta Customer receives access to the Premium features designated by Brideway without subscription fees for twelve (12) months beginning on the date Brideway activates the Beta Customer’s account (the "Beta Period"), subject to continued compliance with the Beta Participation Requirements below.

Beta Participation Requirements. During the Beta Period, the Beta Customer agrees to:

  • participate in reasonable product-review or feedback meetings requested by Brideway;
  • report material bugs, defects, usability issues, or other product problems in a reasonably timely manner; and
  • provide reasonable assistance with agreed marketing or promotional activities, which may include case studies, testimonials, referrals, demonstrations, or similar activities. Brideway will not publicly use the Beta Customer’s name, logo, likeness, or testimonial without the Beta Customer’s separate approval or other lawful authorization.

If a Beta Customer materially fails to meet the Beta Participation Requirements and does not cure the failure within a reasonable period after notice, Brideway may end or convert the Beta access. Beta features may be incomplete, contain defects, change, or be removed. Brideway may request feedback and may use feedback as permitted by Section 8. The Beta Period does not automatically create a paid subscription. After the Beta Period, continued use requires the Customer to accept and pay for a paid plan under Section 5.

During the Beta Period, the Service is provided for evaluation and operational testing. To the maximum extent permitted by law, warranties, service levels, availability commitments, and performance characteristics applicable to paid plans do not apply to the Beta Period.

4. Customer Data

"Customer Data" means information, content, records, files, text, images, documents, links, and other data that you or your Authorized Users submit to or store in the Service. As between you and Brideway, you retain your ownership rights in Customer Data.

You grant Brideway a limited, worldwide, non-exclusive license to host, store, copy, transmit, display, modify as technically necessary, and otherwise process Customer Data only as needed to provide, secure, maintain, and support the Service, comply with law, prevent fraud or abuse, and as otherwise described in the Privacy Policy and Annex A (Data Processing Terms).

You are responsible for Customer Data and for determining that you have a lawful basis and all required notices, consents, permissions, and authorizations to collect, enter, disclose, and otherwise process Customer Data through the Service. You must comply with applicable privacy, data-protection, consumer, marketing, records, employment, and other laws governing your use of the Service.

You must not intentionally enter government identification numbers, passwords, payment-card security codes, full payment-card numbers, bank-account credentials, or other authentication secrets into the Service. Where a receipt, contract, ID, or other document contains information the Service does not need, you should redact it before uploading it. Health, religious, biometric, children’s data, financial data, and other sensitive information should be entered only when genuinely necessary for the event and where you have a lawful basis to do so.

For the current version of the Service, documents stored by you in third-party storage services such as Google Drive are not stored in Brideway merely because you place a link to them in the Service. Brideway may store and display the link and related metadata. You are responsible for the underlying third-party file, its permissions, sharing settings, security, retention, and compliance. Brideway does not control or guarantee the security or availability of third-party storage services.

You remain responsible for independently checking dates, payment due dates, amounts, seating, rooming, vendor terms, guest information, and other operational information displayed by the Service.

4.1 Data processing

Annex A forms part of these Terms and governs processing of Customer Data for which you are the controller or equivalent role and Brideway acts as processor, service provider, or equivalent role under applicable law.

4.2 Export, deletion, and backups

You may request an export of Customer Data while your account is active and during the thirty (30) days following termination or expiry, subject to reasonable security verification. After that export period, Brideway may remove Customer Data from production systems and will delete it in accordance with the deletion schedule in the Privacy Policy and Annex A. Backups may persist for a limited period in accordance with normal backup cycles and applicable law.

4.3 Couple portal access and transition

You may create read-only portal accounts for your couples. You are responsible for inviting the correct people, limiting the information visible through a portal to what you intend to disclose, and securing portal invitations and access.

If your subscription ends and a couple has an active portal login, Brideway will provide that couple with at least thirty (30) days’ notice before portal access is scheduled to end, except where earlier restriction or termination is reasonably necessary for security, fraud prevention, legal compliance, or other urgent reasons. During the notice period, the couple may view and, where the Service permits, export the information available through the portal.

Brideway may offer the couple a direct subscription under separate portal or customer terms. Under the current product model, a couple may continue access by paying the subscription fee then applicable to the former Planner’s plan for that wedding record, subject to acceptance of Brideway’s then-current terms and availability of the service. A portal user does not become a party to these Terms solely by receiving access through a Planner.

5. Plans, Fees, Billing and Taxes

Plans, prices, included features, usage limits, and seat or active-couple limits are shown in the Service or otherwise communicated by Brideway. Prices are in U.S. dollars unless otherwise stated and exclude applicable taxes, duties, levies, withholding, and similar charges, which you are responsible for to the extent applicable.

After any applicable free or Beta Period, paid subscriptions continue on a month-to-month basis unless you cancel or Brideway terminates the subscription. Under the current manual-payment model, each monthly subscription fee must be paid by bank transfer through Wise using the payment instructions Brideway provides. Brideway does not currently initiate an automatic debit from your bank account, and an account remaining technically active does not mean the applicable fee has been paid.

Brideway may later introduce direct payment processing through Stripe or another provider. If direct billing is introduced, any recurring-payment authorization, stored payment method, billing disclosures, and payment-provider terms applicable to that method will be presented at checkout or otherwise as required by law. Your consent to recurring billing through that provider will be required where legally necessary.

You may cancel renewal at any time before the next billing date by using available account controls or by contacting Brideway. Unless required by law or expressly stated otherwise, cancellation is effective at the end of the then-current paid period and does not entitle you to a refund or credit for unused time.

If a payment is not received when due, Brideway may provide notice and suspend or restrict access. Brideway will make reasonable efforts to preserve Customer Data for at least thirty (30) days after a payment-related suspension so you may restore service or request an export, subject to applicable law and security requirements.

Brideway may change subscription prices on at least thirty (30) days’ notice, with the new price applying no earlier than the next billing period. Changes required by law, tax requirements, payment-provider costs, or a plan selected by you may take effect sooner where permitted by law.

6. Acceptable Use

  • break applicable law or infringe or misappropriate another person’s rights;
  • upload malware, malicious code, or content intended to damage or disrupt the Service;
  • access, probe, scan, test, or attempt to defeat security or authentication controls without Brideway’s written authorization;
  • access another customer’s account or data, or attempt to discover data outside the wedding records you are authorized to access;
  • interfere with, overload, disable, or materially degrade the Service or its infrastructure;
  • use the Service to send unlawful spam, phishing messages, or deceptive communications;
  • resell, sublicense, lease, timeshare, or provide access to the Service as a managed service to third parties except through features Brideway expressly provides for that purpose;
  • use the Service to process personal data you are not permitted to process, or to create, upload, or transmit content that is unlawful or that you have no right to use; or
  • circumvent plan limits, usage restrictions, security controls, or access controls.

7. Third-Party Services and Integrations

The Service may interoperate with third-party services, including cloud-storage services, communication tools, authentication services, code-hosting and development services, and payment providers. Third-party services are governed by their own terms and privacy notices. If you choose to connect or use a third-party service, you authorize the applicable exchange of information needed to operate that integration and accept responsibility for your relationship with that third party. Brideway is not responsible for a third party’s acts, omissions, availability, security, or terms except to the extent liability cannot lawfully be excluded.

8. Feedback

If you submit ideas, suggestions, comments, bug reports, or other feedback about the Service ("Feedback"), you grant Brideway a perpetual, irrevocable, worldwide, royalty-free, sublicensable right to use, reproduce, modify, publish, distribute, and otherwise exploit Feedback for any purpose without compensation or attribution. Feedback does not include Customer Data, and you should not submit confidential information that Brideway does not need to provide support.

9. Intellectual Property and License

The Service, including its software, interfaces, workflows, designs, documentation, branding, and other materials supplied by Brideway, excluding Customer Data, are owned by Brideway or its licensors and are protected by intellectual-property and other laws.

Subject to these Terms and your payment obligations, Brideway grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription solely for your internal business purposes.

You may not copy, modify, reverse engineer, decompile, disassemble, create derivative works from, or attempt to extract source code from the Service except to the extent such restriction is prohibited by applicable law.

10. Confidentiality

Each party may receive non-public information from the other that is reasonably understood to be confidential ("Confidential Information"). The receiving party will use the disclosing party’s Confidential Information only to perform or receive the Service and will protect it with at least reasonable care.

Confidential Information does not include information that the receiving party can demonstrate is or becomes public without breach, was lawfully known without a duty of confidentiality, is independently developed without use of the other party’s Confidential Information, or is lawfully received from a third party without a duty of confidentiality.

A receiving party may disclose Confidential Information to its employees, contractors, advisers, and service providers who need to know it and are bound by confidentiality obligations. A party may also disclose Confidential Information when required by law, provided it gives notice where legally permitted and reasonably cooperates in seeking confidential treatment.

This section survives termination for three (3) years, except that trade secrets and Customer Data will be protected for so long as they remain protected under applicable law.

11. Availability, Security and Changes

Brideway will use commercially reasonable efforts to provide and secure the Service, but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency maintenance, third-party outages, internet failures, force majeure events, and other circumstances beyond Brideway’s reasonable control may affect availability.

Brideway maintains administrative, technical, and organizational safeguards appropriate to the nature of the data processed through the Service, as further described in Annex A and the Privacy Policy. No security measure can guarantee that a system will never be compromised.

Brideway may modify the Service. If we materially discontinue or reduce a core feature on which the Service is generally marketed to customers, we will provide reasonable advance notice where practicable.

12. Regulatory and Jurisdictional Compliance

Brideway may offer the Service internationally. Brideway will take reasonable steps to identify and comply with legal or regulatory requirements applicable to its operation of the Service, including registration or notification requirements that may apply in particular jurisdictions. Brideway may restrict, suspend, or modify access in a jurisdiction if reasonably necessary to comply with law or a regulator’s requirement.

Customer remains responsible for complying with laws applicable to its own business, including laws governing wedding services, consumer protection, marketing, employment, records, taxes, data protection, and the collection and disclosure of information about couples, guests, vendors, and other persons.

Customer acknowledges that the Service may be subject to Indonesian electronic-system, data-protection, consumer-protection, tax, licensing, and other regulatory requirements. Nothing in these Terms waives, excludes, or limits any mandatory legal or regulatory requirement.

For customers in Indonesia, Brideway will make an Indonesian-language version of the contractual documents available where required. The English and Bahasa Indonesia versions are intended to express the same agreement and will be interpreted, to the extent possible, consistently with one another and with applicable law. Mandatory Indonesian law controls to the extent it cannot be contracted around.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. BRIDEWAY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

BRIDEWAY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE A PARTICULAR RESULT, PREVENT DATA LOSS, OR OPERATE WITHOUT INTERRUPTION OR ERROR. YOU REMAIN RESPONSIBLE FOR YOUR BUSINESS, EVENTS, CONTRACTS, CLIENT RELATIONSHIPS, VENDOR RELATIONSHIPS, AND COMPLIANCE OBLIGATIONS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDEWAY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID OR PAYABLE TO BRIDEWAY FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) USD 1,000. For a Customer that has paid no fees, the USD 1,000 minimum applies.

These exclusions and limits do not apply to liability that cannot lawfully be excluded or limited, and nothing in these Terms limits a party’s liability for fraud, fraudulent misrepresentation, or willful misconduct. Any other carve-out or super-cap required by applicable law applies only to the extent required.

15. Indemnification

You will defend, indemnify, and hold harmless Brideway and its officers, directors, employees, and agents from third-party claims, losses, damages, liabilities, costs, and reasonable attorneys’ fees arising out of or relating to: (a) Customer Data or other content you or your Authorized Users provide to the Service in violation of law or another person’s rights; (b) your or your Authorized Users’ breach of these Terms; (c) your event-planning services or contracts with couples, vendors, venues, or other third parties; or (d) your unlawful use of the Service.

Brideway will promptly notify you of an indemnified claim and may control the defense and settlement, except that Brideway will not settle a claim imposing an admission of liability or non-monetary obligation on you without your consent, not unreasonably withheld. You may participate with counsel at your own expense.

16. Term, Suspension and Termination

These Terms begin when you accept them or first use the Service and continue until your account is terminated. You may cancel your account at any time subject to any committed paid term and the refund rules in Section 5.

Brideway may suspend or terminate access immediately where reasonably necessary to address a security risk, fraud, unlawful use, non-payment after notice, material breach, or legal requirement. Where practical, Brideway will provide notice and an opportunity to cure a curable breach.

Upon termination, your right to use the Service ends, subject to the post-termination export and couple-portal transition provisions in Section 4. Sections concerning payments owed, Customer Data, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, except to the extent mandatory law of the jurisdiction in which the Customer or affected data subject is located applies notwithstanding that choice of law.

Except where mandatory law provides otherwise, any dispute arising out of or relating to these Terms or the Service will be resolved by confidential binding arbitration administered by the International Centre for Dispute Resolution (ICDR) under its applicable rules. The seat of arbitration will be Wyoming, United States, there will be one arbitrator unless the parties agree otherwise, and hearings may be conducted remotely. Either party may seek temporary or injunctive relief from a court of competent jurisdiction to protect intellectual property, confidential information, or security interests. Nothing in this section prevents a party from using a forum where mandatory law grants a right that cannot lawfully be waived.

18. Changes to These Terms

Brideway may update these Terms from time to time. For material changes, we will provide at least thirty (30) days’ notice by email, in the Service, or by another legally permitted method, unless a shorter period is reasonably necessary to address security, fraud, legal, or regulatory requirements. If you continue using the Service after the effective date of an update, you accept the updated Terms to the extent permitted by law.

19. General

These Terms, the Privacy Policy, and Annex A are the entire agreement concerning the Service and supersede prior agreements on the same subject. If there is a conflict, the following order applies: (1) a signed order or written commercial agreement, (2) Annex A for data-protection matters, (3) these Terms, and (4) the Privacy Policy, except that the Privacy Policy governs disclosures made to individual data subjects where required by law.

You may not assign these Terms without Brideway’s prior written consent, except to a successor in connection with a merger, reorganization, or sale of substantially all relevant assets. Brideway may assign these Terms in connection with a merger, reorganization, financing, or sale of all or substantially all of its assets. Any prohibited assignment is void.

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, labor disruptions, widespread internet or cloud-provider failures, or governmental action, except payment obligations.

Notices to Brideway may be sent to support@getbrideway.com. Notices to you may be sent to the email address associated with your account or through the Service. Electronic notices, acceptances, and records are effective to the extent permitted by law.

Annex A — Data Processing Terms

1. Scope and Roles

For Customer Data, Customer is the controller (or equivalent role under applicable law) and Brideway is the processor, service provider, or equivalent role. These Data Processing Terms apply to processing performed by Brideway on Customer’s documented instructions in connection with the Service. Where Brideway processes information for its own purposes as an independent controller — such as its own account administration, billing, security, legal compliance, or prospect communications — that processing is governed by the Privacy Policy rather than this Annex.

2. Subject Matter, Duration and Purpose

The subject matter is the hosting, storage, organization, retrieval, transmission, display, security, support, and other processing of Customer Data necessary to provide the Service. Processing continues for the duration of Customer’s use of the Service and through the deletion/return period described below, subject to legal retention requirements.

3. Categories of Data and Data Subjects

Customer Data may include identifiers and contact information, wedding and event details, guest and family information, vendor information, budgets, payment records entered by users, notes, rooming and seating information, task and schedule information, document links, and other information Customer chooses to enter. It may include sensitive or specific data where necessary, such as dietary information, health information, religious information, children’s data, or financial information. Data subjects may include planners, their employees, couples, guests, family members, wedding-party members, vendors, and other persons recorded by a planner.

4. Documented Instructions

Brideway will process Customer Data only to provide the Service and on documented instructions from Customer, including these Terms, Customer’s configuration and use of the Service, and reasonable support requests, unless applicable law requires otherwise. If Brideway is legally required to process Customer Data for another purpose, it will notify Customer before processing unless prohibited by law.

5. Confidentiality

Brideway will ensure that persons authorized to process Customer Data are subject to confidentiality obligations appropriate to their role.

6. Security Measures

Brideway will maintain technical and organizational measures appropriate to the risk of processing, which may include encryption in transit, logical isolation between customer environments, access controls, authentication controls, logging and audit trails, backup and recovery procedures, vulnerability management, incident-response procedures, and staff confidentiality controls. Security measures may evolve as technology and the Service change, provided that overall safeguards remain appropriate to the risk and are not materially degraded.

7. Sub-processors

Customer authorizes the subprocessors identified in the Privacy Policy as of the effective date. Brideway may engage additional subprocessors by providing at least thirty (30) days’ prior notice where practicable. Customer may object on reasonable data-protection grounds during that period. If applicable law requires Customer’s express written consent before a new subprocessor is engaged, Brideway will obtain that consent before engagement. If the parties cannot resolve a material objection, Customer may terminate the affected Service on written notice, subject to applicable termination charges, and Brideway may offer a reasonable alternative configuration if available. Brideway remains responsible for its subprocessors to the extent required by applicable law.

8. International Transfers

Customer acknowledges that the Service uses infrastructure and service providers in multiple countries, including Singapore and the United States. Customer and Brideway will comply with applicable cross-border transfer requirements. For Customer Data subject to Indonesian law, the parties will maintain a lawful transfer basis consistent with applicable Indonesian requirements, and Brideway will provide reasonably available information about its processing locations and contractual safeguards to support Customer’s transfer assessment. Where GDPR or UK data-protection law applies, the parties will use the applicable transfer mechanism, which may include the European Commission Standard Contractual Clauses or UK transfer mechanisms, as appropriate.

9. Assistance with Data-Subject Rights

Taking into account the nature of processing, Brideway will provide reasonable assistance to Customer to respond to requests from individuals exercising applicable data-protection rights. Brideway will promptly route to Customer requests relating to Customer Data when Customer is the controller and will, where reasonably practicable, alert Customer without undue delay. Brideway will not independently disclose or alter Customer Data in response to a request unless authorized by Customer or required by law.

10. Security, Breach and Regulatory Assistance

Brideway will notify Customer without undue delay after becoming aware of a Personal Data Breach affecting Customer Data and, where reasonably practicable, within twenty-four (24) hours. The notice will describe, to the extent known at the time, the nature of the incident, categories of data affected, likely consequences, and measures taken or planned to contain and remediate it. Brideway will provide reasonable cooperation with Customer’s legally required notifications, risk assessments, impact assessments, and consultations with regulators.

11. Government Requests

If Brideway receives a legally binding request from a governmental authority for Customer Data, Brideway will, where legally permitted, notify Customer and reasonably cooperate with Customer’s efforts to seek confidential treatment or challenge the request. Brideway will disclose only the information legally required.

12. Deletion or Return

At Customer’s written request following termination or expiry, Brideway will make Customer Data available for export during the applicable thirty (30)-day post-termination export period. Thereafter, Brideway will delete Customer Data from active production systems within ninety (90) days, except to the extent retention is required by law. Residual copies in backup systems may persist for the normal backup lifecycle, remain protected, and not be restored except as needed for disaster recovery or legal compliance.

13. Audits and Information

Brideway will make available information reasonably necessary to demonstrate compliance with this Annex, including relevant security or privacy documentation that Brideway makes generally available. Audits will be remote or documentary unless applicable law requires otherwise. Any legally required on-site audit must be conducted on reasonable notice, during normal business hours, in a manner that minimizes disruption and protects the confidentiality of other customers. Customer is responsible for its reasonable audit costs unless applicable law provides otherwise.

14. No Sale or Targeted Advertising Use of Customer Data

Brideway will not sell Customer Data or use Customer Data for targeted advertising. Brideway may create and use aggregated or deidentified information that no longer reasonably identifies Customer or an individual for security, analytics, service improvement, benchmarking, capacity planning, and other legitimate business operations, subject to applicable law.

15. Precedence

If these Data Processing Terms conflict with the main body of the Terms on a data-protection matter, these Data Processing Terms control to the extent of the conflict.
